Freelance Contractor Agreement

This Freelance Contractor Agreement (“Agreement”) is made and entered into by and between Social Video Group, Inc., a Florida corporation (“SVG”), and the Member (hereinafter referred to as “Freelance Creator” or “Groupie”). The foregoing parties are sometimes referred to herein as a “Party” and collectively as the “Parties.”

Recitals

WHEREAS, SVG is a company that specializes in a user-friendly, web-based video creation platform, helping its clients/members create professional-looking videos for use on social media platforms such as Reel, TikTok, YouTube, and others.

WHEREAS, Freelance Creator is a videographer and content creator who possesses the necessary skill, knowledge, and experience to work with SVG’s clients/members to create professional-looking video content; and

WHEREAS, SVG wishes to engage Freelance Creator, and Freelance Creator agrees to supply video services to SVG on the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the foregoing premises and the covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties adopt the foregoing recitals and agreeas follows:

Agreement 

  1. Membership. By becoming a Member of SVG and clicking the acceptance box, Freelance Creator acknowledges that he/she has read, understands, and agrees to be bound by this Agreement.
  2. Scope of Work. Freelance Creator agrees to work with SVG’s clients/members to provide videography and other media-related services for use on social media platforms (“Services”), including but not limited to:
    • Filming, editing, and delivering finalized video content in agreed-upon formats; and
    • Collaborating with SVG representatives to ensure that the video content aligns with SVG’s Terms and Conditions, Privacy Policy, and Cookie Policy, all of which Freelance Creator agrees to be legally bound and are incorporated herein by reference.
  3. Compensation. SVG shall compensate Groupie Creator for the Services rendered as follows:
    • Edit-Only
      Standard Editor $200
      Business Editor $312.50
    • Film & Edit
      Standard $250
      Business $387.50
      Business Plus $562.50
    • Singles
      Standard Edit $122.50
      Standard Onsite $135

  4. Term and Termination.
    • a. The Term of this Agreement shall commence on the date upon which Freelance Creator completes the membership registration process and affirmatively accepts these terms by clicking the acceptance box (“Effective Date”) and shall terminate when Freelance Creator is no longer a Member of SVG (“Termination Date”); provided however, Freelance Creator agrees to finalize and deliver to clients/members all video content work accepted and in progress at the time of Termination.
    • b. Subject to Section 4a. above, either Party may terminate this Agreement with or without cause by providing prior written notice to the other Party.
    • c. Neither of the Parties to this Agreement shall be liable to the other for any special, incidental, or consequential damages arising out of the performance of this Agreement, including without limitation, loss of profits or overhead, whether based upon breach of contract, negligence, or other legal theory.
  5. Independent Contractor Relationship.
      • a. The Freelance Creator shall perform the Services under the general direction of SVG. Freelance Creator shall determine, in Freelance Creator’s sole discretion, the manner and means by which the Services are performed…

  6. Intellectual Property Rights. All videos produced by Freelance Creator under this Agreement shall become the property of the SVG client/member…
  7. Representations and Warranties.

    • c. Data Protection and Security…

  8. Confidentiality. Freelance Creator agrees to maintain the confidentiality…
  9. Indemnification. Freelance Creator assumes all liability for and agrees to defend and indemnify SVG…
    • (i) Bodily injury, sickness and/or disease…
    • (ii) Damage to any property…
    • (iii) Laborers’, mechanics’, and materialmen’s liens…
    • (iv) Damages arising out of violations…

Acceptance of Terms

BY CLICKING “ACCEPT” OR CONTINUING TO USE SOCIAL VIDEO GROUP’S WEBSITE (Social Video Group), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE SOCIAL VIDEO GROUP’S PLATFORM.
